Board Evaluation Software

Board evaluation software that runs the annual cycle properly.

The Companies Act, 2013 and SEBI LODR require boards to evaluate themselves every year. Most do it over email and Excel, and it shows in the results. TrustBoard runs the whole exercise digitally, from questionnaire design to the report tabled at the board meeting.

The Category

What is board evaluation software?

Board evaluation software digitises the annual performance evaluation of the board of directors, its committees, individual directors and the chairperson: configurable questionnaires, confidential collection of responses, and reports that go straight to the board. It replaces the emailed Word questionnaire and the hand-collated Excel sheet that most companies still rely on.

TrustBoard is board evaluation software designed for India — evaluation frameworks aligned with the Companies Act, 2013, SEBI LODR and SEBI's Guidance Note on Board Evaluation, OTP sign-in for directors, and year-wise tracking that shows how board effectiveness moves between cycles.

The Cycle

Four steps, usually spread over three weeks.

01

Set up the questionnaires

One for the full board, one per committee, one for individual directors, one for the chairperson, and KMPs if you evaluate them. Use our frameworks or bring the questionnaire your NRC already approved. Rating scales, free text, or both.

02

Assign and schedule

The company secretary assigns each evaluation to the right respondents and sets the window. Reminders go out automatically, which matters more than it sounds. Chasing directors is nobody's favourite job.

03

Directors respond

An OTP on their phone, ten minutes on any device, done. No app to install, no password to remember. Responses are encrypted in transit and stored in India.

04

Table the reports

Executive dashboard for the board, peer summaries, a confidential individual report for each director, and committee reports. Year-wise tracking shows whether last year's action points went anywhere.

Common Questions

Things people ask on the first call.

Can we use our own questionnaire?

Yes. Most companies bring the framework their NRC has already approved and we load it in. If you're starting fresh, we have templates built around SEBI's Guidance Note on Board Evaluation.

Are peer responses anonymous?

That's your call, configured per questionnaire. In practice most boards keep peer feedback anonymous and board-level feedback attributed. Either way, role-based access decides who can see what.

How long does setup take?

If your questionnaire is ready, a day or two. The longest part is usually agreeing on the questions internally, not the software.

What does it cost?

Pricing depends on the number of entities being evaluated and directors involved. Write to us with your board structure and we will send a quotation the same day.

Compliance

Built against the rulebook.

Section 134 and 178 of the Companies Act, Schedule IV, SEBI LODR and SEBI's Guidance Note on Board Evaluation. If an auditor or proxy advisor asks how your evaluation was done, the platform itself is the evidence trail.
