For listed entities, board evaluation is not just an internal exercise — it is a disclosure obligation. The SEBI (Listing Obligations and Disclosure Requirements) Regulations, read with SEBI's Guidance Note on Board Evaluation, set expectations for how the evaluation is conducted and what shareholders are told about it.
The core obligations
SEBI LODR requires the board of a listed entity to monitor and review the board evaluation framework. The Nomination and Remuneration Committee lays down the evaluation criteria, and the performance evaluation of independent directors — including their continuation — is done by the entire board, excluding the director being evaluated. The annual report and the corporate governance report then carry disclosures on the evaluation process and criteria.
What SEBI's Guidance Note adds
The 2017 Guidance Note, though advisory, is the de facto benchmark. It covers the full spectrum: who should be evaluated (board, committees, individual directors, chairperson), what criteria to use, how to maintain confidentiality, and — critically — what to do with the results. Proxy advisory firms increasingly measure disclosures against it.
Signs of a boilerplate disclosure
- The same paragraph appears verbatim year after year.
- No mention of how feedback was collected or by whom.
- No reference to outcomes or actions taken from previous evaluations.
Institutional investors read these disclosures. An evaluation process with a documented framework, confidential collection and year-on-year tracking gives the company something substantive to disclose — and evidence to stand behind it.
